Terms of Use
1. Agreement and operator
Effective date: for each account, the date the account is created and this agreement is accepted (published October 4, 2026). Version: 2026-10-04-v2.
Term and expiration. For each account, these Terms take effect on the date the account is created and the required agreement is accepted, and remain in effect for an initial term of 12 months. The term renews for successive 12-month terms while the account or subscription remains active, and expires on the earlier of (a) the end of the term in which the account is closed or the subscription ends without renewal, or (b) the date a later version of these Terms is accepted for that account. Provisions that by their nature survive, including confidentiality, intellectual property, payment obligations accrued before expiration, liability allocation and dispute resolution, continue after expiration.
These Terms of Use are an agreement between Ownsera and its stakeholders, doing business as Ownsera, with its business mailing address at 5400 Glenridge Dr, Unit 420275, Atlanta, GA 30342 (Ownsera, we, us), and the person or organization accepting them (Customer, you). Our legal contact is ops@ownseraiq.com. These Terms govern the Ownsera website, applications, accounts, subscription features, market references, reports, and associated documentation that identify these Terms as applicable (the Service).
By selecting the required agreement checkbox and completing the associated account or acceptance process, you agree to these Terms, including the Acceptable Use and Content Protection Policy, Report Use and Sharing Rules, Valuation and Market Reference Disclosures, and Subscription and Cancellation Policy linked beside that checkbox. The Privacy Policy describes our handling of personal information; acknowledging receipt of it does not provide consent to optional marketing, optional tracking, advisor introductions, or unrelated uses of your information.
If you act for an organization, you represent that you have authority to bind it. If you do not have that authority, you may not submit its information or purchase access for it. An individual does not personally guarantee an organization's debts merely by using an authorized organizational account. These Terms do not create an account agreement merely because someone visits a public page without affirmative acceptance; applicable law and notices still protect content on public pages.
A separately signed order or services agreement controls an expressly identified conflict within its scope. An executed Data Processing Addendum controls conflicting personal-data processing terms, and applicable mandatory law controls all documents. An order does not override privacy safeguards or authorize additional data uses through a general reference alone. No sales conversation or automated output expands an express written commitment.
2. Eligibility and account security
The Service is intended for adults using it for legitimate business purposes. You must be at least 18 and able to enter a binding agreement. Do not create an account where applicable law prohibits providing the Service to you.
Provide accurate registration information, keep your account contacts current, and use only accounts and businesses you are authorized to administer. Credentials and individual seats may not be shared, sold, or transferred to avoid plan limits. Organization administrators must grant access only to authorized users, remove access when authority ends, and obtain appropriate confidentiality commitments from their personnel.
Use available security controls and notify us promptly if you reasonably suspect account compromise, unauthorized extraction, or misuse. You are responsible for activity you authorize and for breaches caused by your failure to exercise reasonable account security. You are not automatically responsible for activity caused by Ownsera's security failures or matters outside your reasonable control. We may require proportionate identity or authority verification without requesting unnecessary sensitive documents.
Ownsera and its stakeholders use commercially reasonable efforts and industry-standard technical, administrative, and physical safeguards to prevent unauthorized access to, or accidental disclosure of, personally identifiable information. While we apply these safeguards to protect your information, no transmission or storage system can be guaranteed completely immune from unauthorized third-party interference.
3. Nature and limits of the Service
Ownsera provides business information software, historical transaction context, operating comparisons, illustrative market references, and scenario tools. References may be generated or assisted by statistical models and artificial intelligence. They depend on available sources, classifications, methodology, and information supplied by users. They may contain errors, omissions, stale data, extraction mistakes, or assumptions that do not fit a particular business.
A reference, range, multiple, sensitivity, or forecast is an estimate for discussion and analysis. It is not a guaranteed sale price, forecast of an achievable result, certified appraisal, fairness opinion, solvency opinion, audit, quality-of-earnings report, tax valuation, or commitment to finance or complete a transaction. An output does not establish that a buyer, lender, tax authority, court, auditor, or regulator will accept its conclusions. Where evidence is insufficient or a feature is experimental, its limitations and status must be considered together with the result.
You must evaluate whether inputs are complete and reliable, review the stated basis and dates, and obtain independent advice and verification appropriate to the decision. Do not use the Service as the sole basis for an acquisition, disposition, investment, financing, tax filing, financial statement, legal claim, or other consequential decision. Do not describe an illustrative reference as a verified market price or professional opinion.
Use of the software does not by itself engage Ownsera or its personnel as your lawyer, accountant, appraiser, broker, investment adviser, or other professional, and does not itself create a fiduciary or agency engagement. Separately agreed professional services require their own written engagement and any legally required qualifications, disclosures, and approvals. The Service does not offer or solicit securities transactions or recommend a particular security solely by displaying market information. These descriptions do not waive duties or registration requirements that applicable law imposes on the actual services performed.
4. Subscription license and permitted use
Subject to the applicable order, payment obligations, and these Terms, we grant you a limited, nonexclusive, nontransferable right during authorized access to use the Service for your organization's internal business analysis and the businesses and users covered by your plan. The Service is licensed, not sold. No right to the source code, underlying research database, nonpublic model parameters, bulk datasets, or administrative tools is granted.
A professional or advisor plan permits work for an authorized client only to the extent the purchased plan expressly includes that use. You must have that client's authority and use a separate, correctly scoped business record. A subscription for one organization does not create an unlimited license for affiliates, portfolio companies, clients, or external recipients. Access provided by an invitation or beta grant is limited to the invitee, authorized businesses, duration, and features identified in that grant.
You may request a copy of your own submitted information through the available export or privacy-request process. Exports of Ownsera-created reports are permitted only when your plan includes them and must follow the Report Use and Sharing Rules. Access to a screen, API response, or browser cache does not create a right to redistribute its content. Nothing here prevents you from independently obtaining public facts from lawful sources or developing material without using protected Ownsera content or breaching another obligation.
5. Ownsera content and third party rights
Ownsera and its licensors retain their respective rights in the Service, software, original report text, designs, documentation, trademarks, original analyses, protectable database selection and arrangement, taxonomies, confidential methods, and other material they own. Ownsera claims no exclusive copyright in unprotectable public facts, customer-owned information, or third-party content it does not own. Third-party names and marks identify their respective owners and do not imply endorsement or affiliation.
The time spent gathering a fact does not by itself give Ownsera ownership of that fact. Nevertheless, your contractual license does not authorize extraction of Ownsera's compiled dataset, misuse of confidential access, infringement of protectable content, or violation of applicable database rights. Source accessibility does not establish permission to reproduce the source's text, images, data feeds, or other protected material. Additional source or license restrictions disclosed with particular content apply to that content within the rights the relevant owner may lawfully assert.
Do not remove copyright, attribution, confidentiality, methodology, as-of-date, or report-use notices from protected material. Do not use our marks as part of a business name, domain, endorsement, or product branding without written permission. Open-source components remain governed by their applicable licenses, and these Terms do not restrict rights those licenses expressly grant.
6. Customer information and limited processing permission
You retain ownership of financial records, business information, documents, and other content you are entitled to submit (Customer Data). You grant Ownsera and its authorized service providers only the rights reasonably necessary to host, secure, process, transmit, format, and display Customer Data to provide the features you request, provide support, satisfy legal obligations, and administer the agreement. This permission does not transfer ownership or authorize resale, public disclosure, advertising use, or use of your confidential business information to benefit another customer.
You represent that you have appropriate authority and a lawful basis to submit and process Customer Data, including information about employees, customers, counterparties, and businesses you advise. Supply only information needed for the selected feature. Do not submit another person's account credentials, full payment card numbers, government identifiers, patient records, privileged documents, material you are prohibited from disclosing, or unnecessary sensitive personal information. An advisor's or administrator's access to a document does not necessarily include permission to upload it to an external service.
Ownsera may derive a customer-specific result from Customer Data and make it available within that customer's authorized workspace. Customer Data and confidential customer-specific results may not be added to a shared precedent database, sold as leads, used to train or fine-tune a general-purpose or shared model, or exposed to another customer without a separate, specific written authorization and any required individual consent. No such authorization is included in ordinary acceptance of these Terms.
Any separately offered research or benchmarking contribution must identify the contributed fields, intended recipients or model uses, safeguards, duration, and withdrawal rules before participation. Merely removing a company name is not sufficient anonymization where a business or person can reasonably be identified from the remaining details. Public-source research and properly licensed datasets may be developed independently of Customer Data.
7. Mutual confidentiality
Confidential Information means nonpublic information disclosed or made accessible in connection with the Service that is marked confidential or reasonably should be understood to be confidential. It includes Customer Data, nonpublic business-specific outputs, security information, access credentials, nonpublic model details, and proprietary datasets to the extent actually confidential. It does not include information the receiving party can demonstrate was lawfully public without breach, already lawfully known without a confidentiality duty, independently developed without use of the information, or lawfully received from another source without a duty of confidence.
Each receiving party will use the other party's Confidential Information only to perform or exercise rights under the agreement; protect it using reasonable care appropriate to its sensitivity and at least the care used for comparable information of its own; and limit disclosure to people or service providers who need it for an authorized purpose and are subject to suitable confidentiality duties. Authorized Ownsera personnel and processors may access Customer Data for service, support, security, and legal purposes described in the Privacy Policy and any applicable DPA. This is not a promise that no service provider or authorized administrator can ever access it.
If legally required to disclose Confidential Information, the receiving party may disclose what is required and, where lawful and appropriate, give the other party a reasonable opportunity to seek protection. It will reasonably cooperate at the requesting party's expense, without obstructing legal duties. This notice requirement never applies where it would interfere with a protected report, investigation, whistleblower communication, or other right described below.
Nothing in any Ownsera agreement or policy prohibits a person from reporting suspected violations to a government agency or law enforcement, communicating confidentially with legal counsel about suspected misconduct, cooperating in investigations, making disclosures protected by law, or receiving a lawful whistleblower award. No advance permission or notice to Ownsera is required for those activities. Under 18 U.S.C. section 1833(b), specified confidential disclosures of trade secrets to government officials or attorneys for reporting or investigating suspected legal violations, and specified sealed court filings, are protected from trade-secret liability. The statute also protects qualifying uses in retaliation proceedings. This provision does not authorize unlawful access or unrelated public disclosure.
Confidentiality obligations apply throughout the relationship and for five years after its termination. Trade secrets remain protected while they legally qualify as trade secrets. Customer Confidential Information retained by Ownsera remains protected for as long as Ownsera retains it, and retained personal information remains subject to applicable law and any DPA. The permitted-use restrictions on Ownsera content and Customer Data continue according to their own terms.
8. Integrations and assisted processing
Connecting an accounting platform, identity provider, payment service, or other integration authorizes the specific access described in that connection flow. Only connect accounts you control or are authorized to administer. You can revoke future access through the available settings or the relevant provider; revocation may not erase information already lawfully imported or records that must be retained.
Optional document processing or AI features may transmit selected content to a disclosed service provider. The feature must identify the relevant processing before submission, and Customer Data must not be sent to an unapproved provider merely because a model is technically available. Review any generated extraction before saving or relying on it. The data license above does not authorize unrelated model training, public prompt publication, or third-party reuse inconsistent with our commitments.
Third-party availability, data quality, and functionality can change. We may disable an integration to protect security or comply with law. We remain responsible for our own contractual and statutory obligations and cannot transfer those obligations simply by using a provider. You are responsible for separate services you independently purchase and for permissions you grant directly to those providers.
9. Professional introductions and commercial relationships
An introduction to an advisor or other professional is optional. A request for help first authorizes internal Ownsera review only; it does not authorize an introduction or disclosure to an outside professional. We may share your identity, contact details, business summary, or documents for an introduction only after a separate request identifies the recipient, purpose, and information to be shared and you affirmatively authorize it. Agreeing to these Terms, entering financial information, or expressing a general interest in a valuation is not authorization to distribute your information to brokers, investors, advisors, or a lead marketplace.
A directory entry, introduction, or referral does not guarantee a provider's work, suitability, licensing, or results. You should evaluate the provider and enter any separate engagement you choose. Ownsera receives no transaction-based compensation through the current introduction feature. We will disclose applicable ownership relationships and other material conflicts before an introduction. These Terms do not authorize a new compensation arrangement or change an existing no-compensation commitment; any future arrangement requires separate legal review and appropriate disclosure and authorization before it begins. A referral does not itself create an agency, partnership, or fiduciary relationship between the referred professional and Ownsera. Mandatory responsibilities remain unaffected.
10. Fees renewal and cancellation
The price, billing frequency, included businesses and seats, available features, applicable taxes, and any trial conversion appear in the accepted order or checkout. That record controls your purchase; examples on another page do not amend an existing subscription. We will disclose material recurring-charge terms before obtaining billing authorization and provide an acknowledgment you can retain.
If you expressly authorize an automatically renewing subscription, it renews for the stated period until canceled. You authorize the payment processor to charge the disclosed amount and applicable taxes according to that authorization. Optional add-ons, materially different charges, and trial conversions require the disclosures and consent applicable to them. We will provide renewal, trial, or price-change notices where required and will not apply an increased recurring price before the required notice and consent process.
You may cancel future renewal through the displayed billing controls or contact process without deleting your data or accepting new marketing. Cancellation normally takes effect at the end of the paid period, and access continues for that period unless suspended for cause. Legally required withdrawal, cancellation, and refund rights control. Except for those rights, an express refund offer, billing error, or a remedy provided in these Terms, fees for a begun period are nonrefundable and unused time does not create a prorated refund.
If we discontinue a paid Service without a reasonably equivalent substitute during a prepaid period for reasons other than your material breach, we will refund the unused prepaid portion. If we materially breach our paid-service obligations and do not cure within 30 days after sufficiently specific notice, you may terminate the affected Service and receive its unused prepaid fees, without limiting nonwaivable remedies.
Contact us promptly about a suspected billing error. You retain any right to dispute an unauthorized charge or seek payment-provider remedies; no contract notice deadline eliminates a statutory right. We may suspend paid features after reasonable notice of payment failure and a reasonable opportunity to correct it, while retaining access to cancellation, legal information, and applicable privacy request channels.
11. Beta invitations and feature changes
A beta, preview, invited trial, or experimental feature may change, be limited, or end. Its invitation states any expiration or revocation conditions. Free access is not a promise of lifetime access, free future features, or permanent pricing. We will not convert free access to paid access or charge a stored payment method without the required billing authorization.
Experimental results may not have demonstrated predictive accuracy and may be withdrawn when evidence is insufficient. Feedback is optional. If you provide suggestions without confidential information, you permit us to use those suggestions without compensation; this does not grant rights in Customer Data, third-party intellectual property, or a separately identified invention. We do not acquire ownership of your business through feedback or testing.
12. Availability suspension and termination
We use commercially reasonable efforts to operate the Service but do not promise continuous availability, an error-free system, a particular update cadence, or a service level unless a signed agreement expressly does so. Maintenance, source changes, provider failures, and security events may affect availability. We will not knowingly describe a delayed or experimental result as a current validated result.
We may restrict the affected access when reasonably necessary to address a material breach, unauthorized extraction, security threat, legal obligation, or nonpayment. Where reasonably possible, we will give notice, explain the basis, and allow correction or review. We may act immediately where delay could materially increase harm or legal exposure. Measures should be proportionate, and confidentiality and privacy obligations continue. Protected reporting, lawful criticism, and good-faith exercise of privacy or consumer rights are not grounds for retaliation.
You may stop using the Service, cancel future subscription renewal through the stated billing controls, and request account closure through /legal/contact or ops@ownseraiq.com. An account-closure request is subject to identity verification, applicable retention duties, and confirmation of the actions completed; an existing company-data deletion control is not represented as complete account closure. Termination ends the license to access the Service and create new reports. You may retain lawfully exported Customer Data and permitted reports subject to continuing confidentiality, source-license, attribution, and nonredistribution obligations. We will provide the export, deletion, and retention handling described in the Privacy Policy and any applicable DPA. Copies retained for legal obligations, disputes, security, or backups remain protected and are not available for unrelated commercial use.
Sections that by their nature should survive do so, including accrued payment duties, confidentiality, intellectual property, permitted report retention, restrictions on misuse, dispute provisions, and lawful liability limitations. Termination does not waive remedies for earlier breaches or authorize either party to retain data indefinitely without a lawful purpose.
13. Warranty disclaimers
TO THE EXTENT PERMITTED BY LAW AND SUBJECT TO EXPRESS COMMITMENTS IN A SIGNED AGREEMENT, THE SERVICE AND OWNSERA CONTENT ARE PROVIDED AS IS AND AS AVAILABLE. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGING OPERATION TO THE EXTENT THOSE WARRANTIES MAY LAWFULLY BE DISCLAIMED. References to Ownsera in this paragraph include its applicable affiliates, licensors, and service providers only concerning their participation in the Service.
We do not warrant that a particular source, estimate, multiple, classification, forecast, extraction, or report is complete, accurate, current, suitable for a particular transaction, or free from bias or error. We do not warrant that use will produce a particular valuation, tax result, financing outcome, sale, investment return, or business improvement. These disclaimers do not negate express descriptions that form part of your contract, our confidentiality or data-protection commitments, or obligations the law does not permit us to exclude.
14. Liability allocation and protected persons
To the maximum extent permitted by applicable law, neither Ownsera nor its founders, officers, directors, members, managers, shareholders, employees, contractors, agents, affiliates involved in providing the Service, licensors, or service providers (the Protected Persons) is liable under these Terms for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, business opportunities, goodwill, or anticipated transaction proceeds, to the extent those damages are of an excluded type. A loss is not excluded merely because it relates to data; recoverable direct damages remain subject to the applicable cap.
Subject to the exclusions below, the aggregate liability of Ownsera and the Protected Persons arising from the Service or these Terms, across all related claims and legal theories, will not exceed the greater of US $100 and the fees paid or payable by you to Ownsera for the affected Service during the 12 months immediately before the first event giving rise to the claim. Related claims do not multiply that cap. An express higher cap in a signed order or DPA controls the subject it covers.
No disclaimer, damages exclusion, or cap in these Terms limits liability for fraud, fraudulent misrepresentation, intentional wrongdoing, gross negligence, death or personal injury caused by negligence where that liability may not be restricted, or any other liability, remedy, fiduciary duty, or statutory obligation that applicable law prohibits limiting. Nonwaivable privacy, data-security, consumer, securities, and other rights remain intact. Ownsera remains responsible for the acts of its subprocessors to the extent the law or DPA requires. Nothing releases a Protected Person from that person's own nonwaivable liability.
These allocations reflect the software-service price and the contemplated risks, and apply only to the extent enforceable in the circumstances. Each Protected Person is an intended beneficiary solely of the lawful protections expressly granted to it. This clause does not prevent an affected person from pursuing rights the law gives that person independently of this agreement.
15. Third party claims and indemnification
If you are a business Customer, you will defend Ownsera and the Protected Persons against a third-party claim to the extent caused by your unlawful Customer Data, infringement or misappropriation in information you supplied, intentional misuse of the Service, or material breach of the permitted-use or confidentiality obligations. You will pay resulting amounts finally awarded or agreed in an approved settlement, together with reasonable defense costs. This obligation does not apply to the extent a claim results from Ownsera's or a Protected Person's breach, negligence, willful misconduct, or unlawful processing, or to claims the law does not allow shifted to you. It is not a blanket duty to fund Ownsera's defense against your own good-faith claim.
The protected party must promptly give notice of a claim, with delay excusing your obligation only to the extent it materially prejudices the defense; permit a competent defense with counsel reasonably acceptable to it; and reasonably cooperate at your expense. You may not settle a claim in a way that admits fault by, imposes a nonmonetary obligation on, or fails to unconditionally release a protected party without its consent, not to be unreasonably withheld. The protected party may participate with separate counsel at its own expense unless a material conflict requires otherwise. If you fail to assume a required defense after reasonable notice, the protected party may conduct a reasonable defense and seek covered costs.
Any indemnity provided by Ownsera to an enterprise customer must be stated in a signed order. Nothing here disclaims a remedy for Ownsera's infringement or misconduct that applicable law independently provides. Individual consumers are not subject to a broader indemnity than applicable mandatory law allows.
16. Disputes and equitable remedies
Please first send a description of a dispute, relevant account information, and requested resolution to ops@ownseraiq.com. The parties will attempt in good faith to resolve it for 30 days after receipt. This informal process does not prevent time-sensitive protective relief, regulatory complaints, small-claims proceedings, or filing needed to preserve a legal deadline; applicable limitation periods are not shortened by these Terms.
For commercial disputes, the governing law is the State of Delaware, excluding its conflicts rules, and the agreed courts are the state or federal courts located in New Castle County, Delaware, to the extent that choice is enforceable. Mandatory law and any right of a consumer to use a legally required local court remain controlling. This choice does not remove an applicable regulator's authority or nonwaivable protections.
Either party may request appropriate court relief for actual or threatened misuse of its intellectual property or Confidential Information, subject to the court's ordinary legal standards. No injunction, presumption of irreparable harm, waiver of required proof, or damages award is automatic. Fees and costs may be awarded only as provided by applicable law or an enforceable agreement.
BINDING INDIVIDUAL ARBITRATION. If a dispute is not resolved through the informal process above, you and Ownsera agree that any dispute, claim or controversy arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, before a single arbitrator. This arbitration agreement is a mandatory condition of using the Service and is not subject to opt-out. The arbitration is governed by the laws of the State of Delaware and the Federal Arbitration Act, and its legal seat is Delaware, but no party is required to appear in person in Delaware: all hearings, conferences and submissions will be conducted by video conference, telephone or written submission unless both parties agree in writing to meet in person. The arbitrator may award the same individual relief a court could award, and judgment on the award may be entered in any court of competent jurisdiction. Either party may instead bring an individual claim in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property, confidential information or the security of the Service.
CLASS ACTION AND JURY TRIAL WAIVER. To the fullest extent permitted by law, claims may be brought only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding, and you and Ownsera each waive the right to a jury trial. If this waiver is found unenforceable for a claim, that claim must proceed in the state or federal courts located in New Castle County, Delaware and not in arbitration. These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules.
17. Changes notices and general provisions
We may update the Service and these Terms. For a material change to contractual obligations, we will provide reasonable advance notice, ordinarily at least 30 days, unless a shorter period is necessary for law, security, or a user-requested change. We will seek renewed affirmative acceptance when required or when introducing a materially different agreement. Changes do not retroactively govern an accrued dispute or authorize an incompatible new use of previously collected data without a lawful basis and required consent. Prior versions and their effective dates will remain available.
Operational notices may be delivered through the Service or the verified account email; formal legal notices to Ownsera must use ops@ownseraiq.com or 5400 Glenridge Dr, Unit 420275, Atlanta, GA 30342. Keep your notice details current. Merely posting an amendment where users are unlikely to see it does not replace legally required notice. Marketing preferences do not disable essential service or legal notices.
Neither party may assign this agreement in a manner that evades its obligations. We may assign it in a merger, reorganization, or sale of the relevant business if the successor assumes the obligations and data transfers remain lawful. You may assign with our reasonable written consent. Neither party is liable for a delay caused by events beyond reasonable control to the extent it uses reasonable mitigation; this does not excuse accrued payment duties, data-protection duties, or legal obligations that still apply.
If a provision is unenforceable, it will be limited or severed only as permitted by law, and the remainder continues where practicable. A failure to enforce a provision is not a general waiver. The agreement creates no employment, partnership, agency, or joint venture. Except for the expressly protected beneficiaries and persons with independent statutory or DPA rights, it creates no third-party contractual beneficiaries. These Terms and the documents validly incorporated into them constitute the agreement for the Service within their scope.
